Transaction Description
Gemstone was financial advisor for Risk Intelligence in their IPO. Risk Intelligence A/S announced, on July 12, 2018, that the company had been approved for listing at Spotlight Stock Market. The approval was dependent on that the minimum limit being reached in the company’s upcoming IPO and that the company had a sufficient number of shareholders in accordance with Spotlight’s listing agreement. The company would raise up to 12 MDKK. The company had secured pre-subscription agreements of 7 MDKK, corresponding to approximately 60 percent of the total issue. In addition, the company had secured commission-free subscription guarantees of 1,8 MDKK from existing owners, corresponding to approximately 15 percent of the issue. On 31 July 2018, the subscription period of Risk Intelligence issue prior to listing on Spotlight Stock Market was completed. Risk Intelligence received subscription for a total of approximately DKK 45.6 million including subscription commitments, corresponding to a total subscription ratio of approximately 379.6 percent and a public subscription ratio of approximately 771.2 percent. The subscription was made by a total of 1,772 individual subscribers. The public portion of the new issue of DKK 5 million (total issue of DKK 12 million minus subscription commitments of DKK 7 million) was subscribed by approximately DKK 38.6 million (full subscription of DKK 45.6 million minus subscription commitments of DKK 7 million), corresponding to approximately 771.2 percent. Due to the extensive interest, allotment toke place by random selection (i.e. lottery) in accordance with the allocation principles as stated in the memorandum.
